Terms & Conditions

Agreement to terms

These Terms & Conditions (“Terms”) govern your use of the Search Strategies, LLC (“Search Strategies,” “we,” “us”) website and the services we provide, including website design and development, digital marketing, and website security, maintenance and hosting. By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

Our services

The specific scope, deliverables, timeline and fees for any engagement are set out in a written proposal, statement of work or service agreement provided to you before work begins. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.

We may use third-party tools, platforms and services (such as hosting infrastructure, content management systems, plugins and advertising platforms) in delivering our work. Your use of those platforms may also be subject to their own terms.

Proposals & payment

Project fees, deposits and payment schedules are stated in your proposal. Unless otherwise agreed in writing:

  • A deposit is required before project work begins and is non-refundable once work has started.
  • Recurring services (such as maintenance, hosting and marketing plans) are billed monthly or annually in advance.
  • Invoices are due upon receipt. Accounts more than 30 days past due may result in paused work or suspended services until the balance is settled.

Client responsibilities

You agree to provide timely feedback, content and materials reasonably needed to complete the work, and you confirm that any content you supply (text, images, logos, data) is owned by you or properly licensed. You are responsible for the accuracy and legality of the content on your website, including any claims made about your own products or services.

Intellectual property

Upon full payment, you own the final website design and content we create specifically for you. We retain ownership of our pre-existing tools, frameworks, processes and know-how, and grant you a license to use them as part of your delivered site. Third-party components (themes, plugins, stock imagery, fonts) remain subject to their own licenses.

We may display completed work in our portfolio and marketing materials unless you ask us in writing not to.

Hosting & maintenance

Hosting and maintenance plans include the features described on our Security page and in your plan agreement. While we target a 99.95% uptime and take security seriously — updates, monitoring, backups and firewalls — no provider can guarantee uninterrupted service or absolute immunity from attacks. If your site is compromised while on an active maintenance plan, we will work to restore it promptly at no additional cost, per the terms of your plan.

If you cancel hosting, we will provide a full export of your site files and databases and reasonable assistance migrating to a new provider.

Cancellation & refunds

Recurring plans may be cancelled with 30 days’ written notice. Fees already paid for the current billing period are non-refundable. For project work, you may cancel at any time; you will be invoiced for work completed to date, and your deposit is applied against that amount.

Warranties & disclaimers

We warrant that our work will be performed in a professional and workmanlike manner. Except as expressly stated, our website and services are provided “as is.” We do not guarantee specific business outcomes, search engine rankings, traffic levels or revenue results, as these depend on factors outside our control.

Limitation of liability

To the maximum extent permitted by law, Search Strategies will not be liable for indirect, incidental, special or consequential damages, including lost profits or lost data, arising from your use of our website or services. Our total liability for any claim is limited to the amount you paid us for the services giving rise to the claim in the twelve months preceding it.

Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Philadelphia County, Pennsylvania.

Changes to these terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent version. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
